These Terms shall constitute the agreement between you (the “Customer”) and iP Edge PTY LTD (ABN 28 130 685 728 whose postal address is PO Box 1164, Mona Vale, NSW 1660 (“iP Edge”) upon which iP Edge shall supply web consultancy services, hosting services, software or other technical services to you unless there is a separate written and signed agreement between you and iP Edge intended by the parties to be the sole agreement with respect to such supply in which event such agreement shall apply to the supply to the total exclusion of these Terms. In the absence of any such written and signed agreement between you and iP Edge these Terms shall apply to the exclusion of any other terms and conditions, including any such terms forming part of or purporting to apply by reason of any order form or process initiated, issued or delivered by you to iP Edge in connection with iP Edge’s supply of such services

These Professional Services Terms (these “Professional Service Terms”) govern Beezy’s performance of Professional Services for Customer and are attached to, and made part of, that certain Proposal for Beezy Subscription Licenses and Professional Services between Beezy Inc., a Delaware corporation located at 548 Market St 76279, San Francisco, CA 94104-5401, United States (“Beezy”) and Customer. Provided, however, that Appspace, Inc., Appspace (Malaysia) Sdn Bhd, Appspace Australia Pty Ltd, Appspace Solutions Limited, and Appspace Technologies FZ-LLC may also provide products or services under these Terms (“Appspace”). Each of these entities, along with Beezy, is a wholly-owned subsidiary, or affiliate, of Appspace Holdings, Inc., a Delaware corporation.

After [xxxx] of a Hits Software Title at the Hits [xxxx] royalty rate, Publisher may elect to change the previously elected royalty rate for such Hits Software Title to Hits [xxxx] in a specific Sales Territory provided that the Hits Software Title has a Threshold Price that meets the requirements for Hits [xxxx] royalty rate in Table 1 above. Publisher must submit to Microsoft, [xxxx] before placing the first manufacturing order for the applicable Hits Software Title, a completed Xbox 360 Royalty Tier Migration Form (a “Tier Migration Form”) set forth in Exhibit 8 for each Sales Territory. The change in royalty rate will only apply to manufacturing orders for such Hits Software Title placed after the relevant Tier Migration Form has been approved by Microsoft.
