This Agreement is made between DHS Industries, Inc., a Utah corporation, with its principal place of business at 17277 Ventura Blvd. Suite 200, Encino, CA 91316 ("Client" or "DHS") and Phillips Management Services, a general partnership, with its principal place of business at 17277 Ventura Blvd.. Suite 200, Encino, CA 91316 ("PMS"), as of March 20, 1998. In consideration of the mutual covenants contained herein, the parties do hereby agree as follows:
