THIS SECURlTY AGREEMENT (this "Agreement"), is entered into as of December 17, 2019, by and between GUIDED THERAPEUTICS, INC., a Delaware corporation (the "Borrower"), and Auctus Fund, LLC, a Delaware limited liability company (the "Secured ~" or "Secured Parties").
