This Schedule is entered into by and between Company (defined in Table 1) and Microsoft (defined in Table 1) as of the Schedule Effective Date below, pursuant to that certain Microsoft Online & Advertising Services Framework Agreement dated August 1, 2014,between Microsoft on the one hand and Company, on the other (the “Agreement”). This Schedule is subject to, and incorporates, the terms and conditions of the Agreement.
