The attached Terms and Conditions describe the terms and conditions under which Scholaborate, Inc. (“Scholaborate”) agrees to provide Kenmore Town of Tonawanda UFSD (“District”) the services described in one or more Statements of Engagement attached hereto (each a “Statement of Engagement”). Each Statement of Engagement executed by both parties that references the Agreement Number stated above shall be governed by the Terms and Conditions attached hereto, unless otherwise agreed to by the parties in writing. The Terms and Conditions, the Statement(s) of Engagement and any other applicable Exhibits attached hereto set forth the entire understanding of the parties with respect to the subject matter described herein and constitute the entire agreement (“Agreement”) between the parties. By signing below, the parties agree to be bound by the terms and conditions of this Agreement.
