DROPCAP REPRESENTATION AGREEMENT This DropCap Representation Agreement (the “Agreement”), is made and entered into as of February 15, 2022 (“Effective Date”), by and between XXXX an XXXX corporation with its principal place of business in XXX, (“Publisher”) and DropCap Inc, a Delaware corporation (“Agent”). A. Publisher is the proprietor and licensor of all literary rights as set forth on Addendum A to this Agreement. “Publisher” refers to both publishing companies and individual authors who own the translation rights to their works. B. Agent serves as the exclusive agent of and performs agency services with respect to subsidiary rights for publishers throughout the world. C. Publisher desires to appoint an exclusive agent for all Subsidiary Rights licensing in the Territory described below and Agent desires to perform such agent services with respect to the Subsidiary Rights for Publisher.
