AGREEMENT made as of the 3rd day of December, 2007 by and between RMR Funds Series Trust, a Massachusetts business trust that acts as an open-end investment company, with its principal office and place of business at 400 Centre Street, Newton, Massachusetts 02458 (the "Client"), and Foreside Distribution Services, L.P., an Ohio limited partnership with its principal office and place of business at 100 Summer Street, Boston, Massachusetts 02110 ("Foreside").
