This Amended and Restated Revenue Deposit Agreement, dated as of June , 2017 (the “Revenue Deposit Agreement”), is being entered into by and among the City of Fishers, Indiana Redevelopment Commission (the “RDC”), Interchange Diversified, LLC, an Indiana limited liability company (the “Developer”), and Regions Bank, as deposit trustee under this Revenue Deposit Agreement (the “Deposit Trustee”). In consideration of the mutual covenants herein contained, the RDC, the Developer, and the Deposit Trustee hereby agree to amend and restate, in its entirety, the Revenue Deposit Agreement, dated as of December 23, 2009, among the RDC, the Developer, and the Deposit Trustee, as amended by the First Amendment to Revenue Deposit Agreement, dated as of July 1, 2011, among the RDC, the Developer and the Deposit Trustee (the “Original Agreement”) as follows:
