This RETIREMENT—RESIGNATION AND TRANSITION AGREEMENT (“Agreement”) is by and between Sovereign Bancorp, Inc. This Resignation and Transition Agreement (this “Agreement”) is entered into between Abgenix, Inc. (the “Company”) and Raymond M. Withy (“Employee”).
