This Confirmation is entered into as of ________, _______ (the “Effective Date”) by and between Seller and Buyer. This Confirmation is subject to that certain Edison Electric Institute Master Power Purchase and Sale Agreement dated ________, _______ (as amended from time to time, the “Master Agreement”) between Buyer and Seller and constitutes part of and is subject to the terms and provisions of such Master Agreement. Terms used but not defined herein shall have the meanings ascribed to them in the Master Agreement. This Confirmation and all Exhibits hereto and the Master Agreement, including any exhibits or amendments thereto, shall collectively be referred to herein as the “Agreement.” In the event of any conflict between this Confirmation and the Master Agreement, this Confirmation shall control. Seller and Buyer are referred to herein individually as a “Party” and collectively as the “Parties.”
