THIS EMERALD ADVANCE RECEIVABLES PARTICIPATION AGREEMENT (this “Agreement”), dated as of August 31, 2015, is made by and among EMERALD FINANCIAL SERVICES, LLC, a limited liability company organized under the laws of Delaware (together with its successors and assigns, “Servicer”), BofI FEDERAL BANK, a federal savings bank (together with its successors and permitted assigns, “BofI”), HRB PARTICIPANT I, LLC, a Delaware limited liability company (together with its successors and permitted assigns, “Participant”) and H&R BLOCK, INC., a Missouri corporation (together with its successors and permitted assigns, “Guarantor”).
