On March 30, 2021, International Seaways, Inc., or INSW, Dispatch Transaction Sub, Inc., a wholly owned subsidiary of INSW, or Merger Sub, and Diamond S Shipping Inc., or Diamond S, entered into an Agreement and Plan of Merger, or the merger agreement, pursuant to which, subject to approval of INSW stockholders and Diamond S shareholders and the satisfaction or (to the extent permitted by law) waiver of other specified closing conditions, INSW and Diamond S will combine in an all- stock merger of equals, or the merger.
