This ProSeeder License and Services Agreement is made and entered into as of the Order Contract Date of the first Order executed between ProSeeder Technologies, Inc., located at 300 Old Country Rd., Suite 251, Mineola, NY 11501 ("ProSeeder") and the Client, described in such Order (“Client”) (each, a "party", and together, the "parties"). The terms and conditions of this Agreement shall govern the Services to be provided by ProSeeder under any Order submitted by Client and accepted by ProSeeder, as though the provisions of this Agreement were set forth in their entirety within such Order, and so that each Order and this Agreement shall be considered one, fully integrated document and agreement. CLIENT IS RESPONSIBLE FOR CAREFULLY READING THE TERMS OF THIS AGREEMENT BEFORE SIGNING AN ORDER FORM, CLICKING “ACCEPT” AND/OR ACCESSING OR USING ANY SERVICES OF PROSEEDER.
