THIS PRODUCT SALE AND PURCHASE AGREEMENT (the “Agreement”) is made as of the day of , 2012 (“Effective Date”) between a corporation incorporated under the laws of , with its registered office located at (“Customer”) and Ever Energy PV Corp., a corporation incorporated under the laws of R.O.C., with its registered office located at No. 156, Jhongyuan Rd., Jhongli City, Taoyuan County, Taiwan (“Supplier”). Customer and Supplier are referred to individually as a “Party” and collectively as the “Parties”.
