THIS AGREEMENT ("Agreement"), is made and entered into this the day of , 20 (the "Effective Date"), by and between VIVA Health, Inc., a corporation organized under the laws of, and licensed as a health maintenance organization in, the State of Alabama ("VIVA Health"), and the individual physician identified on the signature page hereto (hereinafter referred to as "Physician"). On the Effective Date, this Agreement shall supersede and replace any existing agreement(s) between the parties relating to the same subject matter.
