THIS POWER PURCHASE AND LICENSE AGREEMENT (this “PPA”) is made and entered into as of [ ] , 2024 (the “Effective Date”), by and between CEFIA Holdings LLC, a Connecticut limited liability company with offices at 75 Charter Oak Avenue, Suite 1-103, Hartford, CT 06106 (“Seller”), and Town of Branford, a Connecticut municipality with offices at 1019 Main Street, Branford, CT 06405 (“Buyer”). Seller and Buyer are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties”.
