This Phantom SAR Plan Grant Agreement (the “Agreement”) is entered into by VTR GlobalCom S.A. (the “Company”) and Mauricio Ramos (the “Grantee”), in accordance with the VTR GlobalCom S.A. 2006 Phantom SAR Plan (the “Plan”).
