These are agreements are mostly structured in a manner that ensures the host government maximises the wealth it can yield from its minerals resources based on sustainable development goals for that state. In the same manner IOCs try to ensure that the agreements are structured in a manner that maximises shareholder wealth through maximum profits but with the least cost possible.
