Hexcel – PERFORMANCE BASED AWARD AGREEMENT Under the Hexcel Corporation 2013 Incentive Stock Plan (January 30th, 2017)

This Performance Based Award Agreement (the "Agreement"), is entered into as of the Grant Date, by and between Hexcel Corporation, a Delaware corporation (the "Company"), and the Grantee.

This award is forfeited if the Participant's employment with the Company terminates for any reason other than death or retirement during the Performance Period. If the Participant terminates employment with the Company due to death or retirement during the Performance Period and the Performance Goal is satisfied, the Participant may be entitled to the payment of the Award at the discretion of the Committee. In no event shall the Award be paid later than two months and fifteen days following the close of the calendar year in which the Performance Goal is satisfied.

Hexcel – Modification to 2008 Performance Based Award Agreements (February 12th, 2009)

All 2008 Performance Based Award Agreements include a provision regarding pro-ration of the share award in the event of certain types of termination of employment. In particular, if the employees employment terminates as a result of retirement, disability or death, or if the company terminates the employee without cause, then the employee is entitled to a pro-rata portion of the shares earned based on the number of days the employee was employed by Hexcel during the two-year performance period divided by 730. In the case of the companys senior executives, this provision also applies if the senior executive terminates his employment as a result of good reason.
