This Investment Consulting Agreement (this “Agreement”) is made and entered into by and among Tillamook County, an Oregon corporation (“Client”), and Retirement Consulting Group, Inc., an Oregon corporation (“RCG”), with RCG acting as a Registered Investment Advisor and John H. Upton acting as its Investment Advisor Representative, (and RCG and Upton jointly referred to as “Consultant” or “Advisor”). Client hereby retains Consultant to provide the fiduciary and non-fiduciary consulting services described herein with respect to assets of the Tillamook County Retirement Plan (“Plan”) subject to the terms and conditions set forth below. Client’s defined benefit plan is not subject to the Employee Retirement Income Security Act of 1974 (“ERISA”).

Unless otherwise defined herein, capitalized terms in this Agreement have the meanings given to them in the Plan. Any inconsistency between this Agreement and the terms and conditions of the Plan will be resolved in favor of the Plan.

Portland General Electric Co /Or/OFFICERS’ AND KEY EMPLOYEES’ RESTRICTED STOCK UNIT AGREEMENT (February 19th, 2021)

Except as otherwise provided in this Agreement, provided that the Grantee remains in the continuous employment or in the service of the Company or its subsidiaries or Affiliates, the Grantee shall become vested in one third of the Restricted Stock Units on the first anniversary of the Vesting Reference Date, one third of the Restricted Stock Units on the second anniversary of the Vesting Reference Date, and one third of the Restricted Stock Units on the third anniversary of the Vesting Reference Date (the “Final Vesting Date”). For purposes of this Agreement, the “Vesting Reference Date” means February 14, 2021.

SAFETY IN MOTION® MASTER AGREEMENT (February 12th, 2021)

NOTE: THIS MASTER AGREEMENT WILL ONLY APPLY TO THE EXTENT THAT NO BINDING AGREEMENT, WRITTEN OR ELECTRONIC, (THE “OTHER AGREEMENT”) IS ALREADY IN PLACE BETWEEN CUSTOMER (DEFINED BELOW) AND SAFETY IN MOTION, INC. Intergovernmental Agreement Between (January 14th, 2021)

This Intergovernmental Agreement for Portland Aerial Tram Operations (the “Agreement”) is between the City of Portland, Oregon (“City”), a municipal corporation of the State of Oregon, and Oregon Health and Science University (“OHSU”), a public corporation of the State of Oregon, and is for the purposes of funding operations and defining the roles and responsibilities of the City and OHSU regarding operations of the Portland Aerial Tram. Defined terms used in the Recitals, but not defined in the Recitals are defined in Section 1. This Agreement is and shall become effective contemporaneously with the execution and delivery of the Operator Contract with the Tram Operator.
