Upon execution of this letter by each of the parties below and receipt of the retainer described below, this letter will constitute an agreement between the Company and A&M (the “Agreement”). The parties hereby acknowledge and agree that this Agreement supersedes in its entirety that certain letter agreement by and between Alvarez & Marsal North America, LLC and Quorum Health Corporation, dated as of December 9, 2019, which letter agreement as of the date hereof, shall no longer be of any force or effect.
