THIS NON-EXCLUSIVE STRATEGIC COLLABORATION AGREEMENT (the "Agreement") is entered into this 28th day of October, 2011("Effective Date") by and between Iveda Solutions, Inc. ("Reseller") a Delaware corporation, having its principal office at 3350 SW 148 Avenue, Suite 400, Miramar, FL 33027. Company and Reseller may each be referred to herein as a "Party" and collectively as the "Parties".
