THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 31st day of August, 2011, by and between MUTUAL FUND SERIES TRUST, an Ohio business trust (the “Trust”), on behalf of the Delux All Cap Stock Fund (the “Fund”), a series of the Trust, and Delux Capital Group, LLC (the “Advisor”), the advisor of the Fund.
