THIS TRUST INDENTURE (this “Indenture”), is made and entered into as of September 1, 2011, by and between the CITY OF SAN JOSE (the “Issuer”), a municipal corporation and chartered city, duly organized and existing under the Constitution and laws of the State of California (the “State”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, a national banking association, organized and operating under the laws of the United States of America and authorized to accept and execute trusts of the character herein set out, having a corporate trust office in Los Angeles, California, as trustee (the “Trustee”). Capitalized terms are defined in Section 1.01 of this Indenture.
