This Merchant Funding Agreement is entered into by and among MO Technologies USA, LLC (hereinafter "MOT" or "us" or "we"), the merchant identified in MOT's online or mobile application (hereinafter "Merchant" or "you") and Merchant's responsible party (hereinafter the "Principal" as more fully defined in Section 25, below).

WHEREAS, Merchant and Splitit have entered into an agreement (the “Platform Agreement”; words used herein, but not otherwise defined herein, shall have the meaning ascribed to such terms in the Platform Agreement) pursuant to which Splitit will provide services to Merchant enabling it to provide installment payment processing (“Splitit Installments”) and proprietary software products (the “Splitit Platform”) as described more fully in the Platform Agreement and on the Splitit website (collectively the “Splitit Services”); and
