This Agreement is entered into as of July 29, 2004 (the “Effective Date”) by and between SonicWALL, Inc. (the “Company”) and Matthew Medeiros (“Executive”) and amends and restates in its entirety that certain Employment Agreement dated as of March 14, 2003 by and between the Company and Executive (the “Initial Employment Agreement”).
