MASTER TRANSACTION AND RELATIONSHIP AGREEMENT (together with the Exhibits hereto, this “Agreement”), dated as of March 26, 2003, by and among Banca Intesa S.p.A., a company organized under the laws of the Republic of Italy (“Intesa”), Lazard LLC, a Delaware limited liability company (“Lazard”), and Lazard & Co.
