MASTER TERMS FOR SMARTCOMPLIANCEMaster Terms for Smartcompliance • December 13th, 2016 • England and Wales
These Master Terms shall apply to any agreements (each, an “Agreement”) between Descartes Systems UK Limited or one of its’ Affiliates (“Descartes”) and Customer (as such term is defined in an Agreement) that references these Master Terms and incorporates them by reference. By entering into an Agreement with Descartes, Customer acknowledges it has read and agreed to these Master Terms. Each Agreement that incorporates by reference these Master Terms shall be a separate and independent agreement from any other Agreement that incorporates by reference these Master Terms. In the event of any inconsistency between these Master Terms and the terms and conditions of any Agreement, the terms and conditions of the Agreement shall govern to the extent of that inconsistency.
