This Master Power Purchase and Sale Agreement (Version 2.1; modified 4/25/00) (“Master Agreement” ) is made as of the following date: March 23, 2001 (“Effective Date”). This Amended and Restated Master Power Purchase and Sale Agreement ("Master Agreement”) is made as of July 10, 2003, and shall become effective immediately upon the satisfaction of the Conditions Precedent set forth below (“Effective Date”) and as of the Effective Date shall amend and restate in its entirety the Master Power Purchase and Sale Agreement between MSCGI and the Department dated as of February 14, 2001 (the “2001 Master”).
