This MASTER LIQUIDITY EVENT AGREEMENT (this “Agreement”) is entered into as of February 9, 2014 (the “Effective Date”), by and among Inland Diversified Real Estate Trust, Inc., a Maryland corporation (the “Company”), Inland Diversified Business Manager & Advisor Inc., an Illinois corporation (the “Business Manager”), Inland Diversified Real Estate Services LLC, a Delaware limited liability company, Inland Diversified Asset Services LLC, a Delaware limited liability company, Inland Diversified Development Services LLC, a Delaware limited liability company, Inland Diversified Leasing Services LLC, a Delaware limited liability company (each a “Property Manager” and collectively the “Property Managers”), Inland Investment Advisors, Inc., an Illinois corporation and Inland Computer Services, Inc., an Illinois corporation.
