THIS MASTER ALLIANCE AGREEMENT (this “Agreement”), dated as of December 16, 2007, is made and entered into by and between ACI WORLDWIDE, INC., a Delaware corporation (“ACI”), and INTERNATIONAL BUSINESS MACHINES CORPORATION, a New York corporation (“IBM”). This Services Partner Program Exhibit (“SPPE”) is entered into pursuant to the Marketo EMEA, Limited (“Marketo”) Master Allliance Agreement which terms are incorporated herein (“Agreement”) and in connection with the Marketo Digital Services Partner Program as may be amended by Marketo from time to time (“Partner Program”). The individual who clicks the "I Accept" button (“You” or “Your”) to the SPPE on the Marketo Partner Website hereby represents that (i) there is a legally binding Agreement between Marketo and Your company (“Company”) and (ii) You have the authority to bind Your Company to the to the terms and conditions of the SPPE. If You do not have that authority, or if You do not agree with these legally binding terms and conditions, Company may not participate in the Partner Program. This SPPE is effective between Company and Marketo as of the date of Marketo’s acceptance.
