This marketplace seller agreement (the “Agreement”) is entered into between Siemens Industry Software Inc., 5800 Granite Parkway, Suite 600, Plano, TX 75024, USA (“SISW”) and the legal entity that accepted this Agreement (“Seller”). This Agreement may be accepted by manual signature or electronic signature, or through an electronic system specified by SISW. In the electronic system, Seller will be prompted to accept these terms by clicking a button. Clicking the button or using any Marketplace Service indicates that Seller has read, understood and accepted this Agreement. If Seller does not accept this Agreement, Seller must not use any Marketplace Service.

This Marketplace Seller Agreement ("Agreement") is made effective upon Seller's acceptance of "Agree To Terms" in the enrollment section of Seller Tools ("Effective Date") by and between Melanoid Exchange LLC., a limited liability company, dba MelanoidExchange.com , and Seller ("Seller"). Party or Parties will mean, individually, MelanoidExchange.com or Seller as the context requires and, together, MelanoidExchange.com and Seller. This Agreement (and any Exhibits hereto) constitutes the entire understanding and agreement with respect to the subject matter hereof and supersedes all prior agreements between or among the parties relating to the subject matter of this Agreement and all past dealing or industry custom.

You acknowledge and agree that by registering for or using the Seller Portal and/or the Makro Marketplace Program, you, as a Seller, expressly agree to be bound by the following terms and conditions, as may be updated and amended by Makro Marketplace from time to time at its sole discretion (“Agreement”). Any amendments to this Agreement shall become effective and binding on the Seller as soon as the amendments have been published the Seller Portal and/or the Makro Site (as applicable). This Agreement contains the terms and conditions that govern the Seller’s access to, and use of, the Marketplace Program and is an agreement between the Seller and Makro Marketplace.
