Generally, restrictive covenants are agreements between two or more parties in which one party agrees to abide to certain specified limitations on their professional or business activities to the advantage or protection of the other party. Restrictive covenants are utilized in many contexts and can take a variety of forms. With regard to health care, restrictive covenants may apply to traditional employer-employee relationships, independent contractor relationships, purchases and sales of businesses, franchise relationships, operating agreements, partnership agreements, joint ventures, and other associations where one or more parties could gain a competitive advantage over the other party should their relationship terminate.
