Whereas Wound Care Innovations, LLC (“Manufacturer”) and Academy Medical, LLC (“Distributor”) entered into a Manufacturer Exclusive Distribution Agreement on June 26, 2013; and

This MANUFACTURER EXCLUSIVE DISTRIBUTOR AGREEMENT (this “Agreement”), dated as of June 21, 2013 (the “Effective Date”), is by and between Wound Care Innovations, LLC, a Nevada limited liability company (“Manufacturer”), with offices at 777 Main Street, Suite 3100, Fort Worth, TX 76102, and Academy Medical, LLC (“Distributor”), a Florida limited liability company located at 3210 SW 42nd Avenue, Gainesville, FL 32608. Manufacturer and Distributor are sometimes each referred to herein as a “Party” and collectively, as the “Parties”.

Notwithstanding any other provisions in the above titled Agreement, Section 2.B is hereby amended to permit the resale of Products (as defined in Exhibit A of said Agreement) to Opus Health Solutions, Costa Mesa, CA for resale to any sovereign Indian Nation sited in the United States of America.
