(“SGRP”), a corporation organized under the laws of the State of Delaware, Robert G. Brown (“Brown”), an individual and resident of the State of Florida, and William H. Bartels (“Bartels” and together with Brown the “Stockholders” and together with Brown and SGRP the “Parties”), an individual and resident of the State of New York.
