This Appendix includes off-license agreements made between CRSA signatories. These agreements have been proposed as off-license as they concern matters over which the Commission asserts no jurisdiction, their existence carries no weight in the Commission’s consideration of the license application under the Federal Power Act, or there is not a clear and demonstrated nexus between the agreement and the impacts of the Project. The off-license agreements constitute valuable consideration in the parties’ agreement to sign the CRSA and the enforceability of off-license conditions is controlled by the law of the State of South Carolina.

A license agreement permits a private party to encroach upon or construct site improvements within a public property or right-of-way. The agreement authorizes an owner or tenant to construct physical improvements within the public right-of-way. Some examples would be a subdivision identification sign placed in the street right-of-way or a private water line or fiber optic line placed underground within the right-of-way. Please note that construction within public rights-of-way is not permitted without an executed license agreement.

This is the FIRST AMENDMENT (the “First Amendment”) dated April 2, 2024, to: (i) the FIRST LICENSE AGREEMENT (the “First Agreement”), dated April 16, 2021, by and between AMERICAN SCIENCE AND TECHNOLOGY CORPORATION, an Illinois corporation (“Seller”) and PLAIN SIGHT INNOVATIONS LLC, a Delaware limited liability corporation (“Buyer”); (ii) the SECOND LICENSE AGREEMENT, dated April 16, 2021, by and between Seller and Buyer (the “Second Agreement”); (iii) the THIRD LICENSE AGREEMENT, dated April 16, 2021, by and between Seller and Buyer (the “Third Agreement”), and together with the First Agreement and the Second Agreement (the “License Agreements”); and the ASSET PURCHASE AGREEMENT, dated April 16, 2021, by and between Seller and Buyer (the “Asset Purchase Agreement”). Buyer and Seller each may be hereinafter referred to as a “Party” and together as the “Parties.” Capitalized terms used herein but not defined herein have the meanings ascribed to such terms in the License Agreements.
