THIS LEWISTON SHAVINGS SALES AGREEMENT (this “Agreement”) is entered into by and between Potlatch RetainCo, LLC, a Delaware limited liability company (“Buyer”) and Clearwater Paper Corporation, a Delaware corporation (“Seller”) as of , 2008 (the “Effective Date”).
