THIS LEASE RESTRUCTURING AND OPTION AGREEMENT (the "Lease Agreement") entered into effective the 7th day of February 2011 (the "Execution Date"), by and among Dunham Capital Management, L.L.C. and GC Rosedale, L.L.C.
