Santa Fe Petroleum, Inc. – Lease Acquisition Agreement (February 14th, 2013)

This LEASE ACQUISITION AGREEMENT (the "Agreement") is made as of February ___, 2013, by and among Santa Fe Petroleum, Inc., a Delaware corporation (the "Purchaser"), and Long Branch Petroleum LP., a Texas limited liability company (the "Seller"). Purchaser and Seller are sometimes referred to herein individually as the "Party" or collectively as the "Parties."

This Assignment of Oil and Gas Leases, Termination of Lease Acquisition Agreement and Operating Agreement, and Disclaimer ("Agreement") dated as of 21 January, 2013 is between American Energy Development Corp., a Nevada corporation ("Assignor"), whose address is 1230 Avenue of the Americas, 7th Floor, New York, New York 10020, and Range Michigan LLC, a Wyoming limited liability company ("Assignee"), whose address is 504 Fremont Street, Thermopolis, Wyoming 82443 (collectively the "Parties").

This Termination of Lease Acquisition Agreement (this "Agreement"), effective as of November 9, 2012, is by and between Santa Fe Land, LLC ("SFL"), a wholly owned subsidiary of Santa Fe Operating, Inc. ("SFO"), and ____________ ("__________" or the "Land Bank"), collectively referred to as the "Parties."

The following are leases representing 1,628.528 acres that the Company (through its wholly-owned subsidiary) has an option to acquire. All of the leases are the same except for the name of the lessor, mailing address of the lessor, tract number, the date of the lease and the number of acres. The material terms omitted from the form "Paid Up Oil and Gas Lease, filed as Exhibit 10.6, are detailed below:

This Amendment of Lease Acquisition Agreement ("Amendment") is made and entered into as of the date referenced above by and between Santa Fe Land, LLC, ("SFL"), a wholly owned subsidiary of Santa Fe Operating, Inc.("SFO"), Purchaser, and Langtre, LLC ("Langtre") Seller (Land Bank), together referred to as the "Parties".

Santa Fe Petroleum, Inc. – Lease Acquisition Agreement (June 26th, 2012)

This Lease Acquisition Agreement is by and between Santa Fe Land, LLC, (SFL), a wholly owned subsidiary of Santa Fe Operating, Inc.(SFO), Purchaser, and ___________________Seller (Land Bank), together referred to as the "Parties", for the Purchase and Sale of Leases estimated, but not limited to, to be from 10,000 to 30,000 acres (the number of acres could vary appreciably).
