Kulicke and Soffa Industries, Inc., a Pennsylvania corporation (the “Company”), proposes to issue and sell to Banc of America Securities LLC (the “Initial Purchaser”), upon the terms set forth in a purchase agreement dated May 31, 2007 (the “Purchase Agreement”), $100,000,000 aggregate principal amount of its 0.875% Convertible Subordinated Notes Due 2012 (the “Initial Securities”). The Initial Securities will be convertible into shares of common stock without par value, of the Company (the “Common Stock”) at the conversion price set forth in the Offering Memorandum dated May 31, 2007 (the “Offering Memorandum”). The Initial Securities will be issued pursuant to an Indenture, dated as of June 6, 2007 (the “Indenture”), among the Company and The Bank of New York (the “Trustee”). As an inducement to the Initial Purchaser, the Company agrees with the Initial Purchaser, for the benefit of (i) the Initial Purchaser and (ii) the holders of the Initial Securities and the Common Stock issuable
