THIS KEY SHAREHOLDER AGREEMENT (the “Agreement”) is being executed and delivered as of April 16, 2009, by KI-HYUNG LEE (“Shareholder”), in favor of, and for the benefit of: EBAY INC., a Delaware corporation (“Parent”), INTERNET AUCTION CO., LTD., a company organized under the laws of the Republic of Korea (“Sub”), and the other Beneficiaries.
