THIS SAAS SERVICES AGREEMENT (“AGREEMENT”) CONTAINS THE TERMS FOR USE OF THE SAAS SERVICES AND RECEIPT OF PROFESSIONAL SERVICES AND IS BETWEEN KENTIK TECHNOLOGIES, INC. (“KENTIK”) AND THE PARTY AGREEING TO THE TERMS OF THIS AGREEMENT (“CUSTOMER”). BY ELECTRONICALLY EXECUTING AN ORDER THAT REFERENCES THIS AGREEMENT, CLICKING AN "ACCEPT" OR SIMILAR BUTTON, OR OTHERWISE USING THE SAAS SERVICES (“EFFECTIVE DATE”), CUSTOMER AGREES TO BE BOUND BY THE TERMS OF THIS AGREEMENT. CUSTOMER MAY NOT USE THE SAAS SERVICES WITHOUT AGREEING TO THIS AGREEMENT FIRST. IF A WRITTEN AGREEMENT REGARDING CUSTOMER’S USE OF THE SAAS SERVICES EXISTS BETWEEN AND HAS BEEN EXECUTED BY BOTH KENTIK AND CUSTOMER, THE TERMS OF THAT WRITTEN AGREEMENT SHALL TAKE PRECEDENCE OVER THIS AGREEMENT.

This Kentik SaaS Services Agreement is made as of , or if no date is inserted, the date of the last signature below ("Effective Date") between Kentik Technologies, Inc., a Delaware corporation, with offices at 548 Market St PMB 78595, San Francisco, CA 94104 (“Kentik”) anda entity, with offices at and its Affiliates (“Customer”). The purpose of the Agreement is to create a single mechanism under which Customer may use the SaaS Services. The SaaS Services ordered by Customer, corresponding fees, and additional terms are identified in an Order Form. If Customer orders additional SaaS Services after the Effective Date, Kentik may require an additional Order Form to be executed by Customer.
