This Investment and Stockholders’ Agreement (this “Agreement”) is entered into as of July 1, 2016, by and among Noden Pharma DAC, a designated activity company limited by shares organized under the Laws of Ireland (the “Company”), PDL BioPharma, Inc., a Delaware corporation (“PDL”), Elie Farah (“Farah”) and the other Persons listed on Annex A (as it may be amended from time to time in accordance with this Agreement) attached hereto (collectively, the “Management Stockholders” and, together with Farah, the “Minority Stockholders”).
