In connection with the Transactions, (a) each of Bank of America and Wells Fargo Bank (in such capacity and together with other Additional Agents appointed in accordance with the terms herein, each an “Initial TLB Lender” and, collectively, the “Initial TLB Lenders”) is pleased to advise you of its, several but not joint, commitment to provide 50% and 50%, respectively of the entire aggregate principal amount of the TLB Facility (and hereby commits to provide the corresponding proportion of any increase or differing amounts required as a result of the exercise of the interest rate flex provisions of the fee letter dated the date hereof by and among us and you, (the “Fee Letter”)), (b) each of Bank of America and Wells Fargo Bank (in such capacity and together with other Additional Agents appointed in accordance with the terms herein, each an “Initial TLA Lender” and, collectively, the “Initial TLA Lenders”) is pleased to advise you of its, several but not joint, commitment to provide 5
