This Membership and Transfer Agreement (“Agreement”) is by and between _____________________________________ (“Depositor”) and the Regents of the University of Michigan, a Michigan Constitutional corporation (“Michigan”). Throughout this Agreement, Depositor and Michigan are individually referred to as “Party” and collectively as “Parties.”
