This INCREMENTAL AND AMENDMENT AND RESTATEMENT AGREEMENT, dated as of November 7, 2016 (this “Agreement”), is entered into by and among BRIGHT HORIZONS FAMILY SOLUTIONS LLC, a Delaware limited liability company (the “Borrower”), BRIGHT HORIZONS CAPITAL CORP., a Delaware corporation (“Holdings”), GOLDMAN SACHS BANK USA (“GS Bank”), as administrative agent (in such capacity, the “Existing Administrative Agent”), Swing Line Lender and L/C Issuer, JPMORGAN CHASE BANK, N.A.
