This Addendum is entered into between IAC Search & Media, a Delaware corporation (“Partner”) and LookSmart, Ltd., a Delaware corporation (“LookSmart”) and is the fourth addendum to that certain AdCenter License, Hosting and Support Agreement by and between Partner and LookSmart entered into as of May 16, 2005, as amended by the parties in three addenda effective January 2006, May 2006, and January 2007, respectively (the “Agreement”).

This Sixth Addendum is entered into by and between IAC Search & Media, Inc., a Delaware corporation (“Partner”) and LookSmart, Ltd., a Delaware corporation (“LookSmart”) and is the sixth addendum to that certain AdCenter License, Hosting and Support Agreement by and between Partner and LookSmart entered into as of May 16th, 2005, as amended by the parties in five prior addenda (collectively, the “Agreement”). This Sixth Addendum is effective as of December 1, 2009 (the “Addendum Effective Date”).

This Addendum is entered into by and between IAC Search & Media,, a Delaware corporation (“Partner”) and LookSmart, Ltd., a Delaware corporation (“LookSmart”) and is the second addendum to that certain AdCenter License, Hosting and Support Agreement by and between Partner and LookSmart entered into as of May 16th, 2005 (the “Agreement”). This Second Addendum is effective as of the date Partner signs this Addendum and gives the signed document to LookSmart in accordance with Section 12(c) of the Agreement (the “Effective Date”).

This Addendum is effective as of the date Ask Jeeves signs this Addendum and gives the signed document to LookSmart in accordance with Section 12(c) of the Agreement.
