Employees (as defined by the Agreement and Declaration of Trust applicable to the Second Trust) became members entitled to employee health and welfare benefits and to which the trustees of the Second Trust paid and transferred all of the assets of the Second Trust in accordance with Part 11.01 of the Agreement and Declaration of Trust applicable to the Second Trust.
