This San Juan Generation Station Reclamation Trust Agreement (the “Agreement”) is entered into as of _, 2012, by and between CITY OF ANAHEIM, a municipal corporation and charter city located in the State of California (“Anaheim”), in its capacity as a participant in the San Juan Project, and U.S. BANK NATIONAL ASSOCIATION, a national banking association (“U.S. Bank”), as Trustee (in its capacity as Trustee hereunder, the “Trustee”) for the benefit of San Juan Coal Company (“SJCC”), upon the terms and conditions set forth in this Agreement. Anaheim and the Trustee are collectively referred to as the “Parties” or individually as a “Party”.
