This Amended and Restated Produced and Flowback Water Gathering and Disposal Agreement (this “Agreement”), dated as of October 25, 2021, but effective for all purposes as of October 5, 2021 (the “Effective Date”), is by and between OASIS PETROLEUM NORTH AMERICA LLC, a Delaware limited liability company (“Producer”) and OMP OPERATING LLC, a Delaware limited liability company (“Gatherer”), and amends and restates that certain Produced and Flowback Water Gathering and Disposal Agreement, dated as of the Effective Date and by and between Producer and Gatherer (the “Original Agreement”), in its entirety to be effective for all purposes as of the Effective Date as provided herein. Producer and Gatherer may be referred to herein, each individually, as a “Party” or, collectively, as the “Parties”.

Producer and Gatherer may be referred to herein individually as a “Party” or together as the “Parties.” Capitalized terms used but not otherwise defined in this First Amendment shall have the meanings ascribed to them in the Agreement.
